Amendments to AIA Bylaws
The amendments the delegates will consider were drafted under the guidance of AIA Secretary Britt Lindberg, FAIA, the Secretary’s Advisory Committee, and AIA staff and seek to ensure that AIA’s membership structure better engages, serves, and communicates with a broader set of AIA members. The review also sought to bring the Bylaws in line with governance best practices.
AIA bylaws amendments fall into two categories: membership category changes and governance. Below is an executive summary of the changes by area of focus. For detailed amendments and rationale, please see the attached revised bylaws document. The version below includes both the amendments that will be considered by the AIA Board of Directors on May 8, 2024 (noted in blue) and the amendments voted on by the delegates (noted in red) during the Annual Meeting on June 5, 2024.
Changes recommended by area of focus:
Membership category (Chapter 2):
AIA seeks to modernize our membership structure, operationalize new engagement, experience, and involvement strategies within the organization, and allow AIA and our components to recruit and serve a more diverse membership. By updating our membership categories, AIA will expand our community and position the organization as the convener for the built environment and, support current members at their career stage. The proposed new membership structure delivers on that goal and further positions AIA to engage design, construction, and community stakeholders.
Membership Categories define the way people can join AIA. The key category segments below represent both “categories” and “statuses,” which in some cases may be combined (e.g., an Architect Fellow who retires and becomes Architect Fellow Emeritus). These descriptions represent the most simplified level of category differentiation.

Governance changes:
Amendments to the bylaws were made to address inconsistency in process and gaps in the current bylaws. Governance changes have been proposed to address termination of membership for misconduct (Chapter 2.132 and 8.5) and provide clarity on the At-Large Director appointments to the Board of Directors (Chapter 6.04).
During the AIA Board of Directors meeting on May 8, 2024, the board will consider the proposed amendments to the AIA Bylaws' Chapter 2.42 on automatic elevation to Fellowship for elected national officers. The board will discuss the feedback from our membership, components, and former AIA leaders on the proposed amendments.
